LOS ANGELES–(BUSINESS WIRE)–Second Sight Medical Products, Inc.(NASDAQ: EYES) (the \u201cCompany\u201d or \u201cSecond Sight\u201d), a leading developer of implantable visual prosthetics that are intended to create an artificial form of useful vision for blind individuals, announced today the completion of its merger with Nano Precision Medical, Inc. (\u201cNPM\u201d). NPM is a biopharmaceutical business which develops miniaturized, subdermal drug implants utilizing its proprietary NanoPortal\u2122 technology to enable long-term, near constant-rate delivery of a broad range of medicines to treat chronic diseases.\n<\/p>\n

\nIn connection with the merger, Second Sight changed its name to Vivani Medical, Inc. (\u201cVivani\u201d). The Company\u2019s common stock will trade on The Nasdaq Capital Market under the symbol \u201cVANI\u201d. \nNotice of Intent to Delist Warrants (Nasdaq: EYESW)<\/b>\n<\/p>\n

\nIn connection with Nasdaq\u2019s approval of the merger transaction, the combined company is required to meet Nasdaq\u2019s Listing Rule 5110(a). This rule requires the post-merger company to satisfy all of Nasdaq\u2019s listing criteria. The Company has met the listing requirements for the combined company\u2019s common stock post merger. Because the warrants (Nasdaq: EYESW) will not meet Nasdaq\u2019s initial listing standards as of closing of the merger, the Company would be noncompliant with Listing Rule 5110(a) as to the warrants only. As a result, the Company has voluntarily elected to delist the warrants, which will allow the Company to otherwise be compliant with the Nasdaq listing rules. The company intends to file a Notification of Removal from Listing on Form 25 with the SEC on or about September 8, 2022, to delist the warrants from trading on the Nasdaq Capital Market.
