EDEN PRAIRIE, Minn.–(BUSINESS WIRE)–Surmodics, Inc. (Nasdaq: SRDX) (\u201cSurmodics\u201d or the \u201cCompany\u201d), a leading provider of medical device and in vitro diagnostic technologies to the health care industry, today announced that the United States District Court for the Northern District of Illinois (the \u201cDistrict Court\u201d) has denied a request by the U.S. Federal Trade Commission (the \u201cFTC\u201d) and certain state regulators to issue a preliminary injunction that would have prevented the Company and GTCR LLC (\u201cGTCR\u201d) from consummating the proposed acquisition of the Company by an affiliate of GTCR (the \u201cMerger\u201d).<\/p>\n

\nConsummation of the Merger remains subject to a Temporary Restraining Order under which the parties to the Merger agree not to consummate the Merger prior to 5:00 p.m. Central time on Monday, November 17. It also remains subject to the satisfaction or waiver of closing conditions set forth in the agreement related to the Merger (the \u201cmerger agreement\u201d), including (1) the absence of any injunction or other legal restraint or prohibition that would prevent or prohibit the consummation of the Merger, (2) the absence of a \u201cCompany Material Adverse Effect\u201d (as defined in the merger agreement) with respect to the Company and (3) other customary closing conditions.<\/p>\n
